Interpretation and Definitions

Interpretation

Capitalized terms in these Terms and Conditions have specific meanings as defined below. Definitions apply equally to singular and plural forms.

Definitions

  • Application: This refers to the software program (extension, workspace, or web application) named WA-CRM that the Company provides and installs on your device.

  • Affiliate: An entity that controls, is controlled by or is under common control with another entity, where "control" means ownership of 50% or more of the voting shares or securities.

  • Account: A unique account created for you to access the Service or parts of it.

  • Country: Refers to Dover, Delaware 19904, United States

  • Company: Refers to Tech4Partners, located at 1111B S Governors Ave STE 6671, Dover, Delaware 19904, United States

  • Content: Includes text, images, or other information posted, uploaded, linked, or otherwise made available by you.

  • Device: Any device capable of accessing the Service, such as a computer.

  • Feedback: Includes any feedback, innovations, or suggestions you provide regarding the Service's features or performance.

  • Promotions: Contests, sweepstakes, or other promotional activities available through the Service.

  • Service: Refers to the Application.

  • Subscriptions: Services or access to the Service offered on a subscription basis.

  • Terms and Conditions: These Terms and Conditions constitute the agreement between you and the Company regarding using the Service.

  • Third-party Social Media Service: Any external services or content provided by third parties that may be included in or accessible through the Service.

  • ​You: The individual using or accessing the Service, or the entity on behalf of which the individual is using or accessing the Service.

Acknowledgement

 

These Terms and Conditions govern your use of the Service and form an agreement between you and the Company. By using the Service, you agree to these Terms and Conditions. If you disagree with any part, you must not use the Service.

You confirm that you are at least 18 years old. The Service is not intended for those under 18. Your use of the Service is also subject to the Company’s Privacy Policy, which details how your personal information is handled. Review the Privacy Policy before using the Service.

The Service may interact with third-party services such as WhatsApp, HubSpot, or Salesforce. Your use of these third-party services is also subject to their respective terms and policies.

Subscriptions

 

Subscription Period

Some parts of the Service are available only with a paid Subscription. Based on the subscription plan you select, billing occurs in advance regularly (monthly or annually).

Subscription Cancellations

You can cancel your Subscription renewal through your Account settings or by contacting the Company. No refund will be issued for fees already paid for the current Subscription period; you will retain access until the end of the period.

Billing

You must provide accurate and complete billing information, including name, address, phone number, and valid payment details. If automatic billing fails, an electronic invoice will be issued, and you must manually complete the payment by the deadline.

Fee Changes

The Company may modify Subscription fees at its discretion. Any fee changes will be effective at the end of the current Subscription period, with prior notice provided. Continued use of the Service implies acceptance of the new fees.

Refunds

Paid Subscription fees are non-refundable except as required by law. Refund requests may be considered on a case-by-case basis.

Promotions

 

Promotions may have separate rules from these Terms. Review the applicable rules and our Privacy Policy  before participating. If Promotion rules conflict with these Terms, the Promotion rules will take precedence.

User Accounts

 

You must provide accurate and up-to-date information when creating an account. Failure to do so may result in immediate account termination. You are responsible for safeguarding your password and for any activities under your account. Do not disclose your password to third parties. Notify the Company immediately of any security breaches.

Username choices must not infringe on another party’s rights or be offensive.

Content

 

Your Right to Post Content

You are responsible for the Content you post. By posting, you grant the Company a license to use, modify, display, and distribute your Content. You retain ownership but must ensure your Content does not violate others’ rights.

Content Restrictions

You must not post unlawful, offensive, or harmful Content. This includes, but is not limited to, illegal activity, defamatory remarks, spam, malware, or content infringing on others' rights. The Company reserves the right to remove or edit Content and may limit or revoke access for violations.

Content Backups

While backups are regularly performed, the Company does not guarantee against data loss or corruption. Maintain an independent copy of your Content.

Copyright Policy

 

Intellectual Property Infringement

The Company respects intellectual property rights and will respond to claims of infringement. Submit notices of alleged copyright infringement to support@wa-crm.com with the required details.

DMCA Notice and Procedure Submit a DMCA notice with the following details:

  • Signature of the authorized person.

  • Description of the copyrighted work and its location.

  • Identification of the infringing material’s location.

  • Your contact details and a statement of belief that the use is unauthorized.

  • A statement of accuracy under penalty of perjury.

Intellectual Property

 

The Service and its content, excluding user Content, are owned by the Company and protected by copyright, trademark, and other laws. The Company’s trademarks may not be used without permission.

Your Feedback

Any Feedback provided becomes the Company’s property. If the assignment is ineffective, you grant a non-exclusive, perpetual, worldwide license to use and modify Feedback.

Links to Other Websites

 

The Service may include links to third-party websites not controlled by the Company. We are not responsible for their content or policies. Read their terms and privacy policies before use.

 

Termination

The Company may terminate or suspend your account without notice for breaches of these Terms. To terminate your account, simply stop using the Service.

Limitation of Liability

The Company’s liability is limited to the amount you paid for the Service or $100 if no purchase was made. The Company is not liable for any indirect or consequential damages. Some jurisdictions may not allow these limitations.

Disclaimer

The Service is provided "AS IS" without warranties. The Company does not guarantee that the Service will meet your needs or operate without errors.

 

Governing Law

 

These Terms are governed by the laws of the Country, excluding its conflict of law rules. Other local, state, or international laws may also apply.

 

Dispute Resolution

 

Attempt to resolve disputes informally by contacting the Company first.

 

For EU Users

 

EU consumers benefit from mandatory legal provisions in their country of residence.

U.S. Federal Government Provisions

The Service is a "Commercial Item" under U.S. regulations.

 

U.S. Legal Compliance

You must not be in a country subject to U.S. embargoes or listed as a restricted party.

 

Severability and Waiver

 

If any provision is unenforceable, it will be modified to meet its objective, and the remaining provisions will remain in effect. Waivers of rights or breaches do not affect future rights or breaches.

 

Translation

 

If these Terms are translated, the English version will prevail in case of disputes.

 

Changes to These Terms

 

The Company may modify these Terms at any time with notice of at least 30 days for material changes. Continued use of the Service implies acceptance of the revised Terms.
